You agree to indemnify and hold harmless RockGlobal, its contractors, licensors, directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys' fees, arising from your use of the Website, including your violation of this Agreement.
Regarding the topic at hand, this Agreement constitutes the entire agreement between you and RockGlobal and can only be altered through a written amendment endorsed by a RockGlobal executive or by RockGlobal posting an updated version. Unless otherwise provided by applicable law, any access to or use of the Website and this Agreement will be governed by the laws of St Vincent and the Grenadines, without including its conflict of law provisions, and any disputes arising out of or related to this Agreement will be resolved in state and federal courts located in St Vincent and the Grenadines. Except for claims involving intellectual property rights or claims seeking injunctive or equitable relief, which may be brought in any competent court without requiring a bond, any disputes arising from this Agreement will be settled according to the Comprehensive Arbitration Rules of the Judicial Arbitration and Mediation Service, Inc. (“JAMS”) by three arbitrators designated in accordance with such rules. The arbitration will take place in St Vincent and the Grenadines, in the English language, and the arbitral decision may be enforced in any court. The winning party in any legal action or proceeding to enforce this Agreement will be entitled to costs and attorneys’ fees. If any part of this Agreement is held to be invalid or unenforceable, that part will be interpreted to reflect the original intent of the parties, and the remaining provisions will remain fully effective. Waiving any term or condition of this Agreement or any subsequent breach thereof in a single instance will not waive such term or condition or any subsequent breach thereof. You can assign your rights under this Agreement to any consenting party that agrees to be bound by its terms and conditions; RockGlobal can assign its rights under this Agreement without any conditions. This Agreement will bind the parties, their successors, and allowed assigns and will be advantageous to them.
